3 Strategies To Keep You In The Lead After Your Company Goes Public

These days there are few opportunities to take a private company public. However, there is no time like the present to prepare yourself for the day – probably in a few years – when the IPO market will get started again.

If you are leading a startup, there is a good chance you have a long-term vision for building a company that scales enough to make the world a better place. Your odds of doing that are much better if you can remain as CEO after the company goes public.

Sadly, many CEOs can grow their company to the verge of an IPO but cannot run it well afterwards. Indeed, according to The Founder’s Dilemmas some 60 percent of founders do not remain CEOs following their company’s Series D investment round.

I recently spoke with an entrepreneur who has overcome that common hurdle. The CEO in question is Shlomi Ben Haim, who runs “liquid software” provider JFrog. Despite the slowing economy, JFrog – which went public in 2020 — has been growing surprisingly quickly – at 34 percent in the most recent quarter.

Here are the three strategies that have contributed to his success and that you should consider following if you aspire to lead your company to an IPO and beyond. In my book, Scaling Your Startup, I called this fourth stage of scaling Running the Marathon.

1. Partner with a strategist CFO.

When a startup begins raising capital from venture investors, it needs a chief financial officer (CFO) with experience taking a company public and communicating with investors after the IPO. While every CEO has different skills and areas where they need help, I think many of them are better off if they can collaborate with a CFO who can do that and be a business strategist.

Such a partnership is contributing to JFrog’s success. Ben Haim, a visionary CEO, and Jacob Shulman, a risk-managing CFO work effectively to strike the right balance between ambition and realism. Ben Haim told me that he is happy that Shulman — who joined JFrog as CFO in May 2018 after serving as CFO of Mellanox Technologies — is his “partner in crime.”

Ben Haim hired Shulman to collaborate on business strategy. “I was not looking for an accountant,” says Ben Haim. “I wanted someone who could read and understand the data and have credibility. I needed a partner to read the market waters, listen to analysts and peers, and help us take a controlled approach to risk.”

2. Maintain a long-term focus.

To scale a company to the point where it can go public, a leader must balance the short- and long-term. Public company CEOs must report to investors every quarter and that makes it hard to resist the temptation to focus too much on those reports.

What’s more, these days many CEOs are scrambling to deal with short-term pressures brought on by high inflation and rising interest rates. Current macroeconomic headwinds are not deterring Ben Haim. “I have experience with rapidly changing headwinds and tailwinds. I started two companies during such times — one in 2001 and JFrog in 2008 — three months before a global crisis in both cases,” he told me.

This experience focuses him on aiming at long-term goals while preserving cash. “I can identify [the beginning of an economic downturn] and did not wait for the analysts to tell the world. With $500 million in cash, we have built in resiliency. We know the market will recover,” he said.

3. Stay ahead of potential disruptors.

A founder who is running a public company must invest in the future. Ben Haim and Shulman have collaborated to keep JFrog stay ahead of potential disruptors. As Ben Haim said, “I could see the evolution years ahead of time. Every company was going to be a DevOps company. Security would be a task that developers would have to face. The next stage was IoT and connected devices.”

To realize his vision, JFrog made acquisitions. For example, in September 2021, it acquired Upswift, a connected-device management software provider, and in June 2021 JFrog acquired Vdoo, a product security firm, for about $300 million, according to Calcalist.

Ben Haim credits Shulman with helping with M&A strategies. As Shulman told me, “I am an agent of change and controlled risk. We discussed the IoT business model and set milestones we needed to achieve. [We addressed questions such as] ‘How much should we invest? How could we achieve a return on investment?'”

Follow these three strategies and you can boost your odds of taking your company public and continuing to lead it to higher ground.

Here’s Why Vietnamese Automaker VinFast Wants To Build Cars In The U.S.

Vietnam-based VinFast will begin exporting a lineup of all-electric SUVs to California later this year, but its American market plans are even more ambitious.

VinFast was founded in 2017 by Vietnam’s first-ever billionaire, entrepreneur Pham Nhat Vuong, whose fortune began with an instant noodle company he launched while living in Ukraine in the 1990s. The automaker started out making internal combustion engine vehicles but has since shifted to EVs.

“We see the demand and request for EVs booming everywhere in the world,” Emmanuel Bret, VinFast’s deputy CEO of global sales and marketing told FOX Business in an exclusive interview.

Bret said the company will have 30 stores up and running by the end of the year in California and then expand nationwide as it builds the brand.

Part of its plan includes a $2 billion factory it has entered a memorandum of understanding to build at the Chatham County Triangle Innovation Point outside Raleigh, North Carolina, that will be funded with the help of an initial public offering it has filed for.

Bret explained that the company’s belief is that it’s better to be close to the customer and that the project proves how serious it is.

“We are in the U.S. for a long, long, long time, so we want to really show this,” Bret said. VinFast won’t be selling cars the old-fashioned way, however. The initial strategy is to sell and lease vehicles without battery packs, which will be leased separately.

“This is the only way to go for the future,” Bret said.

The idea is that it will create an entirely circular system that will allow it to fully recycle the materials into new batteries, which it hopes will reduce manufacturing and ownership costs.

“We will offer premium quality for everyone at a reasonable price compared to the size and quality of the car,” Bret added.

The first models that will be offered are the VF 8 and VF 9 SUVs, which will have starting prices of $40,700 and $55,500, respectively. The two-row and three-row vehicles were designed by Italy’s famed Pininfarina and engineered with the help of a number of major automotive industry suppliers, including Germany’s ZF.

Pricing for the battery lease is set at $35-$44 monthly with 310 miles driving allowed and $110-$160 monthly for an unlimited plan, but charging is not included beyond two complimentary fill-ups on the Electrify America network.

If the battery pack degrades to under 70% capacity or has any issues it will be replaced for free and recycled. VinFast said it may consider selling cars with batteries included in the future, but that it will focus on the subscription model for at least five years.

VinFast CEO Le Thi Thu Thuy spoke to reporters on Thursday: “We still, we still have so many options to look at. So it’s not definite that we are going to do (an) IPO still considering a lot of options, so is one of the options.”

She said the IPO was planned for the second half of this year as one option to fund a plant planned in North Carolina and U.S. expansion. The company plans to transition to all-electric vehicle production in late 2022. Outside North America, VinFast is looking for a plant in Germany, it said in January.

Reddit, TPG And Gopuff Join The IPO Pipeline

Reddit revealed on Wednesday night that it has filed for an IPO, news that comes a few months after Reuters reported the company was planning a Wall Street debut at a potential $15 billion valuation.

The filing will remain confidential for now, and details on the planned listing are scarce. But we don’t need the details to know that this will be a closely watched and long-awaited debut for a company that’s been a fixture in venture capital circles since the second Bush administration.

After 16 years and more than $1.3 billion in funding as a private company, Reddit will finally join fellow social media giants like Twitter, Snap and Pinterest as a public one. And after a year in which the /r/WallStreetBets subreddit became a phenomenon and helped spur a frenzy of retail trading, Reddit will soon join that frenzy itself.

There won’t be many notable IPOs between now and the end of the year. But the pipeline for 2022 is looking packed. And it filled up even more this week, as Reddit wasn’t the only major name to make moves toward the public market.

Famed private equity firm TPG also filed for an IPO, this time with a prospectus that’s publicly available. The document shows how the firm has continued to build on an already impressive base in recent years, growing its assets under management from $60 billion in 2016 to $109 billion at the end of this September.

It now has five distinct investment platforms with at least $10 billion in AUM, including $52.6 billion in its flagship TPG Capital buyout business, an array of offerings that demonstrates how the private equity industry has matured since TPG got its start in 1992.

Speculation has swirled for years that TPG might make the move from private firm to public entity, following in the footsteps of rivals like Blackstone (which went public in 2007), KKR (2010) and The Carlyle Group (2012). The recent performance of those firms is surely one reason TPG decided to take the leap. Private equity stocks have soared this year, with a huge volume of deals driving huge profits. Carlyle stock is up 67% since the beginning of January, while KKR is up 81%.

It’s a trend that’s already caused a few different private equity investors to go public on the other side of the Atlantic. The U.K.’s Bridgepoint and France’s Antin Infrastructure Partners both conducted IPOs earlier this year. Goldman Sachs, meanwhile, conducted a listing in London for its Petershill Partners unit, which holds minority GP stakes in more than a dozen other private equity firms.TPG appears to be next in line.

This one might be farther in the distance, but delivery startup Gopuff has begun planning an IPO of its own that could occur in the second half of 2022, according to Bloomberg. To call the company’s recent growth explosive would be to undersell it: Gopuff was valued at $190 million in 2017, $1 billion in 2018, $2.2 billion in 2019, $3.9 billion in 2020 and $15 billion with a new round of funding this July, per PitchBook.

And that number could continue to shoot up. Axios reported this week that Gopuff issued a $1.5 billion convertible note led by Guggenheim Partners that could value the company at as much as $40 billion.

Based in Philadelphia, Gopuff is a different kind of delivery company than the likes of DoorDash and Instacart, relying on a network of hundreds of its own small fulfillment centers to house goods rather than buying from other restaurants and grocery stores. But Gopuff has benefited from changing consumer tastes amid the pandemic in the same ways that DoorDash and Instacart have—which goes a long way toward explaining its new status as one of America’s most valuable startups.

The broader IPO market has cooled down in recent weeks from its prior incendiary state, with fewer listings going off and fewer enormous first-week gains. But dealmakers across the financial industry expect things to heat back up in 2022. And the planned listings of Reddit, TPG and Gopuff will only add fuel to the fire.

Braze Begins The IPO Process Amid Pandemic-Era Growth In Digital Marketing

A decade after its founding, the marketing tech startup Braze is beginning the process of becoming a publicly traded company.

Today, the New York-based company filed its Form S-1 with the U.S. Securities and Exchange Commission to go public on the Nasdaq stock exchange under the ticker symbol “BRZE.” Braze is part of the growing industry of marketing campaign management software companies, a market sector that the research group IDC says could reach $15 billion in 2021 and $19.4 billion in 2024.

The customer engagement company provides technology for brands to interact directly with consumers through various channels. By using Braze’s platform, companies can use data from email, apps and other digital platforms to better understand their customers before targeting them with personalized messages. Well known brands that use Braze for their marketing include Burger King, Anthropologie, Birchbox, Grubhub, IBM, Hinge, Nascar, PayPal, HBO, iHeartRadio, Sephora and Rosetta Stone.

According to its SEC filing, Braze reported large revenue growth in the past two years with $150.2 million in fiscal-year 2021 and $96.4 million in 2020. While the company has experienced momentum in 2020 and 2021, it’s still not profitable: Net losses totaled $31.43 million in 2021 and $31.36 million in 2020. Braze also reported annual recurring revenue passing $200 million in 2021, up from $100 million in 2019.

When Braze was cofounded in 2011 by CEO Bill Magnuson, Jon Hyman and Mark Ghermezian, it wanted to build a business that was mobile-first to help companies adapt to changing consumer behaviors. At the time of publication, the company was unavailable for comment about its IPO plans, but in a letter included in the S-1 Magnuson wrote that the “goal was to build a company that would capitalize on new technology to help the world’s best companies grow by trusting us with their most valuable asset: their customer relationships.”

“While technological change drove us forward, we knew that humanity should always guide us,” Magnuson wrote. “Great human relationships are built on mutual understanding, engaging communication and shared experience. It’s thus no surprise that the secret weapon of exceptional, enduring companies is the quality of their customer engagement.”

In the past two years, Braze has continued to grow its customer base from 728 in January 2020 to 890 January 2021 and 1,119 as of July 2021. The company has also continued to scale its cloud-based platform and now reaches 3.3 billion monthly active users through its customers’ applications, websites and other digital platforms—up from 2.3 billion in January 2020 and from 1.6 billion in January 2019.

Issues around privacy are also something Braze listed as a risk factor, citing international, federal and state regulations including newly passed legislation in California, Virginia and Colorado and existing laws such as the European Union’s General Data Protection Regulation. Several pages of the S-1 detail many of the laws and provide a glimpse into the various ways rules around data privacy could impact the company both legally and financially.“The laws are not consistent, and compliance in the event of a widespread data breach could be costly,” according to the SEC filing. “In addition, while we contractually limit the types of data our customers may process and store using our platform, we cannot fully control the actions of our customers. The failure of customers to comply with their contractual obligations may subject us to liability, and we may not have sufficient recourse to cover our related liabilities.”

Braze’s S-1 filing comes just a day after the advertising technology company Basis Globally Technologies—formerly known as Centro—confidentially filed its own S-1 with the SEC, further adding to the string of ad-tech and mar-tech IPOs that have taken place this year. Companies that have either gone public or begun the IPO process in 2021 include the content recommendation company Taboola, ad measurement firms DoubleVerify and Integral Ad Science and other marketing tech companies such as Zeta Global and Sprinklr.

Over the past decade, Braze has raised $175.1 million, according to Crunchbase. It raised an $80 million Series E round led by Meritech Capital Partners in 2018, just a year after raising a $50 million Series D round led by ICONIQ Capital. Other investors have included Battery Ventures, InterWest Partners, Rally Ventures and Blumberg Capital.

While Braze was growing quickly even before the Covid-19 crisis began, the company said the pandemic has accelerated the adoption of digital and mobile usage. Braze is also betting on the increased reliance on first-party data, especially as companies adapt to finding ways to reach people without as much third-party aggregated data.

“Modern brands know that when a customer is intermediated by a third-party aggregator, ad platform or distribution channel, it’s not really their customer relationship,” Magnuson wrote. “The highest value customer relationships are informed by first-party data and cemented through direct engagement.”
