Boeing To Pay $200M To Settle Charges It Misled Investors About 737 MAX

Boeing Co. will pay $200 million to settle civil charges by the U.S. Securities and Exchange Commission that it misled investors about its 737 MAX, which was grounded for 20 months after two fatal crashes killed 346 people, the agency said on Thursday. Boeing knew after the first crash that a flight control system posed a safety issue, but assured the public that the 737 MAX airplane was “as safe as any that has ever flown the skies,” the SEC said in announcing the settlement.

The SEC also said former Boeing Chief Executive Dennis Muilenburg had agreed to pay $1 million to settle charges. Both Boeing and Muilenburg did not admit or deny the SEC’s findings, the agency said. A fund will be established for the benefit of harmed investors, it said. Boeing shares rose 0.4% in after-hours trading.

“In times of crisis and tragedy, it is especially important that public companies and executives provide full, fair, and truthful disclosures to the markets,” SEC Chair Gary Gensler said in a statement. Boeing and Muilenburg “failed in this most basic obligation,” he said. The SEC charged Boeing and Muilenburg “with making materially misleading public statements following crashes of Boeing airplanes in 2018 and 2019.”

Boeing, which noted that it did not admit or deny wrongdoing in the settlement agreement, said it had made “fundamental changes that have strengthened our safety processes” and said the “settlement is part of the company’s broader effort to responsibly resolve outstanding legal matters related to the 737 MAX accidents.”

The first crash, of a Lion Air flight in Indonesia, occurred in October 2018. After the second crash, in Ethiopia in March 2019, the SEC said, “Boeing and Muilenburg assured the public that there were no slips or gaps in the certification process with respect to MCAS, despite being aware of contrary information.”

Boeing has resolved most claims from the two fatal crashes. Last year it acknowledged liability for compensatory damages in lawsuits filed by families of the 157 people killed in the 2019 Ethiopian Airlines 737 MAX crash. A small number of trials are expected to begin in 2023 to help resolve claims.

The Federal Aviation Administration required 737 MAX pilots to undergo new training to deal with MCAS as well as mandating significant new safeguards and other software changes to the flight control system before allowing the planes to return to service. The crashes cost Boeing more than $20 billion and led Congress to pass sweeping legislation reforming how the FAA certifies new airplanes. Boeing faces a December deadline to win approval from the FAA of the 737 MAX 7 and 10 variants, or it must meet new modern cockpit-alerting requirements.

In January 2021, Boeing agreed to pay $2.5 billion in fines and compensation to resolve a U.S. Justice Department criminal investigation into the 737 MAX crashes. The Justice Department settlement, which allowed Boeing to avoid prosecution, included a fine of $243.6 million, compensation to airlines of $1.77 billion, and a $500 million crash-victim fund over fraud conspiracy charges related to the plane’s flawed design.

The families of some people killed in the Boeing crashes have asked a judge to declare the government violated their legal rights when it reached the settlement. In December 2019, Boeing fired Muilenburg after the company clashed with regulators over the timing of the 737 MAX’s return to service. A lawyer for Muilenburg, who did not admit or deny wrongdoing, did not immediately respond to a request for comment.

Muilenburg departed Boeing with $62 million in compensation and pension benefits but received no severance pay. “Boeing and Muilenburg put profits over people by misleading investors about the safety of the 737 MAX all in an effort to rehabilitate Boeing’s image following two tragic accidents that resulted in the loss of 346 lives and incalculable grief to so many families,” said SEC Enforcement Director Gurbir Grewal.

Last November, Boeing’s current and former company directors reached a $237.5 million settlement with shareholders to settle a lawsuit over the board’s safety oversight of the 737  Max.

agreed to pay more than $2.5 billion to settle a criminal probe with the U.S. Justice Department, which accused the company of concealing information about its 737 Max airplane that was involved in two crashes that claimed 346 lives, federal prosecutors announced Thursday. The deferred prosecution agreement closes the DOJ’s roughly two-year probe and drops all charges after three years if there aren’t additional violations.

Prosecutors said Boeing “knowingly and willfully” conspired to defraud the United States by undermining the Federal Aviation Administration’s ability to evaluate the safety of the plane. Boeing admitted that two of its 737 Max flight technical pilots “deceived” the FAA about the capabilities of a flight-control system on the planes, software that was later implicated in the two crashes, the Justice Department said.

The $2.51 billion fine consists of a $243.6 million criminal penalty, a $500 million fund for crash victims family members and $1.77 billion for its airline customers. The company said it already accounted for a bulk of those costs in prior quarters and expects to take a $743.6 million charge in its 2020 fourth-quarter earnings to cover the rest.

“The tragic crashes of Lion Air Flight 610 and Ethiopian Airlines Flight 302 exposed fraudulent and deceptive conduct by employees of one of the world’s leading commercial airplane manufacturers,” Acting Assistant Attorney General David P. Burns of the Justice Department’s Criminal Division, wrote in a release. “Boeing’s employees chose the path of profit over candor by concealing material information from the FAA concerning the operation of its 737 Max airplane and engaging in an effort to cover up their deception.”

The company admitted to the wrongdoing and waived its rights to a trial as part of its deal with the DOJ to settle the charges. The agreement also didn’t implicate top executives there, saying the misconduct wasn’t pervasive nor were senior managers involved. “This is a substantial settlement of a very serious matter, and I firmly believe that entering into this resolution is the right thing for us to do — a step that appropriately acknowledges how we fell short of our values and expectations,” CEO Dave Calhoun said in a note to Boeing employees.

The crashes plunged Boeing into its worst-ever crisis that has cost Boeing about $20 billion. They sparked a worldwide grounding of its bestselling plane that lasted nearly two years, numerous investigations and damaged the reputation of one what was the world’s biggest aircraft manufacturer.

Two damning congressional investigations after the crashes found management, design and regulatory lapses in the 737 Max’s development and certification. This led to new legislation passed last year to reform aircraft certification, giving more control over the process to the FAA. House Transportation and Infrastructure Committee Chairman Peter DeFazio, an Oregon Democrat whose committee led one of the reports and introduced the new certification law, slammed the settlement with the Justice Department.

“This settlement amounts to a slap on the wrist and is an insult to the 346 victims who died as a result of corporate greed,” he said in a statement. “Not only is the dollar amount of the settlement a mere fraction of Boeing’s annual revenue, the settlement sidesteps any real accountability in terms of criminal charges.”

Last month, the FAA approved software and other safety changes Boeing made to the planes, clearing airlines to start flying them again. American Airlines last month became the first U.S. carrier to return the planes to commercial service. United Airlines expects to start flying them again next month and Southwest Airlines is set to follow suit in March.

Lawyers representing the family members of victims in Ethiopian Airlines Flight 302 said they intend to continue with their lawsuit against Boeing. “This agreement, including the ‘crash-victim beneficiaries fund’, has no bearing on the pending civil litigation against Boeing, which we plan to prosecute fully to ensure the families receive the justice they deserve,” they said.

The Gap Between The Crypto Industry And Regulators Has Never Been Wider

For the past five years, cryptocurrency entrepreneurs have been in fierce disagreement with U.S. regulators over an existential question: whether certain digital assets are securities, or investment contracts that need to be registered with the Securities and Exchange Commission. The stakes are high–if a cryptocurrency is deemed a security in a U.S. court, it basically dies in the American crypto ecosystem. That’s because it can’t currently be traded on any cryptocurrency exchange, since none of them has a national securities exchange license.

Two weeks ago, the SEC filed a complaint in federal court asserting that nine tokens available to trade on Coinbase were securities, and the decree initially sounded like a step toward more regulatory clarity. But the SEC didn’t explain what makes the tokens different from other cryptocurrencies, and after the complaint came out, Coinbase published a blog post titled, “Coinbase does not list securities. End of story.” The episode was just the latest sign that the gap between the industry and regulators has never been bigger.

“The SEC chairman has publicly asserted that digital assets other than bitcoin are securities,” says Jai Massari, a former partner at law firm Davis Polk and now chief legal officer at blockchain startup Lightspark. Yet crypto companies have “necessarily taken the position that digital assets are generally not securities,” she says. It’s a stunning place for an industry to be, with near 100% disagreement between regulators and companies on a foundational question. “How this plays out in the coming months will shape the future of much of the existing crypto industry,” Massari says.

Until now, the SEC has kept an arms-length distance from defining which cryptocurrencies are securities, providing ambiguous guidance in public and private meetings with companies, according to securities lawyers Forbes spoke with. In its recent claim that nine Coinbase-listed tokens are securities, it invoked a set of guidelines called the Howey Test to make its argument. But the test is too vague and malleable to produce clear results, Massari and Davis Polk partner Joe Hall have written. Meanwhile, the cryptocurrency industry has kept marching forward with the implicit belief that few digital assets are securities.

In January 2021, when President Biden selected Gary Gensler as the new chairman of the SEC, many in the industry pointed out that Gensler had taught a blockchain course at MIT and hoped he’d provide more regulatory clarity on which digital assets are securities. But that hasn’t happened, and it’s largely because of the political muck Gensler would find himself in if he did so, says Joe Hall, who has been a Davis Polk partner for 23 years and has been working on crypto regulation since 2013.

“When there’s a trillion-dollar market, any SEC chairman has to know that if he or she wades into that, it can be completely consuming and put them in the middle of a food fight between traditional financial services and crypto companies. Those are the worst kinds of fights to be in,” he says. “You have vested interests on both sides. It can consume an incredible amount of time and resources … you have to deal with your overlords on Capitol Hill.”

The “Pottery Barn rule”—a principle of “you break it, you buy it”–also exacerbates the situation for regulators. If the SEC says a certain cryptocurrency isn’t a security, it’s treated like an endorsement, attorneys say. Later on, if something goes awry with the asset and consumers lose a lot of money, Gensler will be heavily criticized by congressional oversight committees and the media, according to Hall.

“It’s easy to criticize the SEC from the outside,” Hall adds. “But I know exactly why they’re doing it. There is just no benefit from the point of view of an individual to stick your neck out and actually try to solve the problem. It’s much easier to bring enforcement actions against people for violating the laws.” An SEC spokesperson declined to comment for this article.

As crypto companies keep operating despite the risk of SEC enforcement actions, Hall doesn’t think those businesses are acting naively, or that they believe they can safely ignore what the SEC is doing. For better or worse, they’re just moving ahead despite the risks and uncertainty. “If you weren’t willing to live with regulatory uncertainty, there’s just no way you could operate in the business,” he says.

More recently, crypto companies have developed the financial strength and confidence to go head to head with the SEC. In late June, crypto asset manager Grayscale sued the SEC for failing to allow the company to convert the Grayscale Bitcoin Investment Trust (GBTC), a bitcoin-based investment vehicle that it released in 2013, into a spot bitcoin exchange-traded fund (ETF), which would make the investment more accessible to the average U.S. investor.

How will the fundamental disagreement between regulators and the industry get resolved? “There’s no point in hoping that anyone at the SEC or a change in guard will result in the cavalry riding in,” Hall says. “We really need to turn to Congress to solve it.”

There are a number of technology and finance experts who say that cryptocurrency is a purely speculative asset, and one that serves no real purpose. And this month, a group of them wrote a letter to leaders in Congress, asking that they: “Ensure that individuals in the U.S. and elsewhere are not left vulnerable to predatory finance, fraud, and systemic economic risks in the name of technological potential which does not exist.”

One of the signatories was Molly White, a software engineer who runs the blog Web3 Is Going Just Great, which documents instances of fraud and catastrophe in the crypto universe. And she is not a fan of the new bill. “It is very much what I think the cryptocurrency industry was hoping to see from regulators, which is a very limited set of regulations applied to the industry,” she said.

Some in the industry have responded positively so far. The Crypto Council for Innovation called it a significant step forward, and the Blockchain Association called it a “milestone moment.”

White says cryptocurrencies aren’t like traditional commodities like wheat or oil, so the CFTC shouldn’t be the main regulatory muscle.”Cryptocurrencies are more like securities because people broadly put money into them hoping for a return on their investment,” White said. “And when someone is engaging with something as an investment, that’s a good sign that it should go to the SEC.”

What’s more, White said the CFTC simply wasn’t equipped to handle the workload — even if the bill allows the CFTC to impose a fee on digital asset exchanges to help fund its large role.”There would need to be a major change in the amount of resources going to the CFTC for them to suddenly take on this enormous and much broader set of issues than they’ve dealt with in the past,” she said. “And the SEC is frankly just more experienced in this field already.”

Trading Commissions May Return If the SEC Makes Big Stock-Trading Changes

The Securities and Exchange Commission is aiming to shake up the mechanics of US stock trading in the wake of last year’s meme-stock frenzy, and some experts in the markets say changes could lead to a shift back to retail investors paying commissions to make trades.

SEC Chairman Gary Gensler in a speech this week outlined six areas of market structure where rules could be updated to foster greater efficiencies, particularly for retail investors. Gensler is proposing the agency consider sending retail stock orders to auctions under which trading firms would compete to execute the transactions to ensure investors receive the best prices.

Such a move could alter the payment for order flow system, or PFOF, under which brokerage firms including Robinhood, TDAmeritrade, and E-Trade are compensated for sending customers’ orders to market makers rather than sending them directly to an exchange. Among the biggest market makers are Citadel Securities and Virtu Financial. PFOF supports zero-commission trading at online brokers that serve amateur investors.

A significant PFOF change “may reset the entire playing field and cost individual investors more money because we’ll have to go back to some sort of commission model,” Sean Bonner, CEO of Guild Financial, a self-direct investment app that focuses on active and retired members of the military, told Insider. Guild, an early-stage business, doesn’t use the payment for order flow system.

“I can guarantee you that commission model will be much higher than the rebates paying the payment for order flow — much higher, by a factor of 10s to 100s,” said Bonner, who has more than 20 years of experience on Wall Street from floor trading to working as a mutual fund manager. “Retail investors are saving billions of dollars a year on the current payment for order flow model.”

Major wholesalers such as Citadel, Virtu, G1X and Two Sigma provided $6.1 billion in price improvements in 2020 and 2021 combined, said BrokerChooser, based on its analysis. Zero-commission trading in recent years has fueled a boom in activity among individual investors who no longer had to pay their brokers as much as $6.95 for each trade.

Proposed changes to shake up rules in the US stock market was met with criticism from Robinhood’s chief legal officer Dan Gallagher this week. “It is a really good climate for retail, so to go in and muck with it right now, to me, is a little worrisome,” Gallagher said at a conference in New York, according to The Wall Street Journal. Retail traders are benefitting from zero-commission transactions and fast execution of trades, he said.

Following last year’s meme-stock frenzy, Gensler last year asked the SEC to review rules related to equity-market structure, including payment for order flow. PFOF is banned in some countries. Gensler isn’t proposing a ban but such a move would make it “almost inevitable” that retail investors return to a commission-based system, Kerim Derhalli, founder and CEO of investment app Invstr, told Insider.

“I don’t think anyone is going to be willing to provide brokerage services on their own without having some form of revenue associated with it,” he said. The Invstr app has 3 million users worldwide and the company doesn’t use the PFOF system. “If we return to a commission structure then you could argue that might discourage people from trading as frequently as they have been trading. You could, on the other hand, argue that if people start trading less, and investing more, they’ll be better off,” over the long term, he said.

“What would seem to be a simple solution would be [for Gensler] to say, ‘We’re going to make PFOF illegal and … retail trading needs to go through the exchange where it’s transparent and the prices are transparent and people can have confidence in the system,” said Derhalli. Bonner at Guild said overall he sees a ban on PFOF hurting retailer traders. “To be honest, a lot of brokers would hope that they get rid of this payment for order flow model and get back to charging for commissions because there’s a lot more revenue for the brokers in that.”

Gary Gensler is trying to level the playing field for small investors. He’s expected to outline a proposal for new rules to help them – possibly in a speech later today. The idea is to make sure those investors get the best deal when buying or selling stocks. When you make a trade, you may go through a broker. Some are paid to send their orders to wholesalers – who may not give you the best price.

Dennis Kelleher of the investor advocacy group Better Markets said the SEC is thinking about creating auctions. “Which should drive down the cost for retail investors and therefore give them the best price available,” he said. But the plumbing of trading is complicated. And if you divert the flow of buy and sell orders, some small investors could get hurt. Jaret Seiberg with the investment bank Cowen said those deals between brokers and wholesalers paved the way for free trading.

“If you start dismantling the system it’s not clear that you’re going to be able to still provide free access to trading,” he said. Investors advocates said at least with a commission you know what you’re paying upfront. There’s plenty of time for this debate. Any new rules would have to go through a long, public process.

Many will recall the ICO craze of 2017 as crypto startup projects raising capital exploded onto the scene from May of that year with bitcoin hitting all time highs and surging above $15 thousand by December. Projects flooded the market seeking capital to mint new coins and promised groundbreaking changes.

The ICO landscape rapidly descended into chaotic scenes of indiscriminate buying and selling often for quick profit, disregarding long-term sustainable growth and investor interests. Hype and expensive marketing campaigns often misled investors, many of whom succumbed to greed instead of performing even cursory due diligence.

Though there were many excellent projects, some still with us today, many were fraudulent, ill-intentioned or at best, misguided. The SEC gave notice that it considered many tokens as securities and would apply the Howie Test to coin projects. This significantly dampened the market and in the end, some studies identified more than 80 percent of all ICOs as scams earning the badge of shitcoins for many from the lCO boom.

This was not crypto’s best day and the sector did little to engender legitimate and responsible inclusion within the financial system with policy makers and regulators, and this sentiment still lingers in the corridors of power today.

This is the principal reason many in my global community came to together to form Global Digital Finance, an industry not-for-profit organization focused on developing and sharing leading market practices and standards for the crypto and digital assets sector.

Many of us were called to action to demonstrate that the crypto and digital assets sector was founded, staffed, and run by responsible people who could abide by jurisdictional and global laws, and were keen to support policy makers and regulators with meaningful compliance, while asking for patience with the new technologies and business models as the developed.

The big message was, “there are adults on the room”, and there is some groundbreaking innovation going in here that is of benefit to society, lets not get lost in the technological jargon and please exercise a bit of patience.

Characteristic of bubbles that burst, a slump followed this high point, commonly known as the “Crypto Winter”. There was a silver lining to those dark days in that it proved to be a time for learning from mistakes for many and rethinking the future of crypto.

A wave of pioneering crypto-based incubators, accelerators and venture capitalists emerged aiming to restore normalcy and rekindle the flame of innovation. In addition to discovering and supporting genuinely promising early-stage startups, incubators significantly broadened the scope for capital formation and accumulation in the blockchain cryptocurrency sector.

The “2021 List of Blockchain Venture Builders, Incubators & Startup Accelerators,” is pretty comprehensive, and since their arrival on the scene, this collective has been a catalyst for increasing institutional investments in crypto-based projects, which has helped flood the market with record amounts of cash.

Kardia Ventures CEO Huy Nguyen believes incubators bring far more than expertise and experience to the table. They also provide startups with access to an essential and extensive network of investors, stakeholders, and service providers, and provide much-needed capital to help ensure early stage startups have a clear path to success. Kardia Ventures has made tens of millions of dollars in investments across 18 companies, including participating in an $8.5 million seed round for DeHorizon and a $2.1 million initial round for Thetan Arena.

A Record Year For Venture Investment 

Venture capitalists invested $26 billion in crypto-based projects in 2021, dwarfing figures from previous years. The surge includes a $10 billion investment in crypto exchange Bullish Global, and $350 million in funding for NFT gaming company Dapper Labs. Additionally, Paradigm and Andreessen Horowtiz have launched their own crypto investment funds worth $2.5 billion and $2.2 billion, respectively, the largest of their kind to date.

Venture capitalists aren’t getting into the crypto industry merely for the ROI. Shan Aggarwal of Coinbase Ventures highlights that short-term gain isn’t the primary metric for success given the blockchain-powered future that Web 3.0 promises. What’s really important is infusing liquidity into crypto markets. In other words, addressing volatility issues is key to long-term success, and the recent influx of venture dollars goes a long way to help ensure smoother sailing.

Institutional investors are increasingly interested in the crypto market but aren’t always aligned with the principles of decentralization and user-orientation and some have been at odds with the broader interests of the crypto and digital assets community. This prevalence has caught the attention of Cardano founder Charles Hoskinson who thinks institutional investment threatens the sector’s meritocratic and community-governed nature.

Hoskinson warns, “They (the institutional investors) are always going to get their pound of flesh before everybody else.”

The scenario is changing for the better with institutional investors rethinking their strategies to suit the needs and demands of the decentralized world of Web3.0. Deciding everything behind closed doors shrouded in secrecy has been the traditional way of doing things and these days, some seek to ratify investment decisions through community-oriented voting, as was witnessed during the funding rounds of SushiSwap.

Retail Investors Continue To Drive Adoption

Retail investors will always dominate the transaction volumes in crypto and have almost singlehandedly created to the $2 trillion crypto market without the governments and the legacy financial system, arguably Satoshi’s main goal with bitcoin. Many institutional investors access the market by participating in funds and listed equities focused on blockchain and cryptocurrency to get exposure to the asset class, especially in the West.

High volatility, a consistent feature in cryptocurrency, isn’t conducive to the demands of retail investors, who typically lack the capital buffer necessary for absorbing market fluctuations and do not have the hedging playbook or experience to rely on. Large capital losses pose a significant threat to many retailer investors who are limited to risk exposures far lower than institutional players. Volatility is also a big issue for regulators and is an important consideration in policies for investor protection as it relates to cryptoassets.

Recently retailer customers in Vietnam, India, Pakistan and the Ukraine have been buying cryptocurrencies and driving the adoption rate to more than 881 percent in 2021In India retail investment rose 600 percent from April 2020 to March 2021, leaping from $900 million to $6.6 billion,  however, traders went on a selling spree in anticipation of unfavorable regulations and a possible ban on cryptocurrencies, which led to tumbling prices.

Such erratic buying and selling hinders the sector’s progress, setting off a vicious circle of perpetual volatility. Policymakers are advised to offer a greater degree of consistency and clarity when it comes to the direction of travel and regulatory certainty of cryptoassets to help better align to and address retail investor’s interests for longer-term market stability.

A Crypto Market For All Investors

The crypto and digital assets sector is on the verge of a paradigm shift with Web3.0, and for that shift to happen, incubators, accelerators and venture capitalists are poised to rise to the occasion. In addition, onboarding new investors is vital, and many are already meeting these new challenges with relative efficiency.

What Crypto Investors Need To Know About Charitable Tax Planning

Ah, December. It always feels like this month sneaks up on us. For many, it is the last chance to impact their tax planning. But in the year end rush, there is a lot to consider.

The past 18 months have been a wild ride in the capital markets. From the lows of March 2020 to the highs of the recent months, investors have done incredibly well. Further investors who fearlessly entered the crypto market a few years back might find themselves with significant gains.

And that is where taxes can become tricky. “Think of cryptocurrency like a stock. Sell it in less than a year at a gain, and it is ordinary income. More than a year, and it’s taxed at long-term capital gains rates,” explains Adam Markowitz, EA and Vice President, Howard L Markowitz PA, CPA

While recognizing a gain might seem like the only option available to crypto investors, a unique tax planning opportunity is available:  the ability to use your cypto holdings to donate to charity. As crypto becomes commonplace in investment portfolios, more donor advised funds (DAFs) and charities are accepting these holdings in their donations.

For many this will be a significant planning opportunity, but just because it is permissible, doesn’t mean it’s straightforward. There are a few rules of the road that crypto investors must consider when donating to charity.

Tax Mechanics

Before we get into how crypto can be donated, it is important to understand the mechanics of donating noncash assets to charities.

“In addition to cash donations, individuals, partnerships and corporations are allowed a charitable deduction on their tax returns for donated property,” explains Lorilyn Wilson, CPA & CEO of Lookahead LLC and DueNorth PDX.

Publicly traded securities are commonly-donated non-cash items. In this situation, investors can get a special two-part tax benefit. First, they do not have to recognize the capital gain; second, they get a charitable deduction when the holdings go to the charity or donor advised fund.

“But there are rules. For property donated with a combined worth of more than $500 (think Goodwill donations, cars, etc.), an additional form called Form 8283 must be filed as well,” says Wilson. For publicly traded holdings, only Part I of the form is required.

“The IRS requires you take the charitable deduction at the fair market value of the property being donated – and this is the form used to do just that,” says Wilson.  “Questions such as the name of the organization donated to, property description, date property was acquired and contributed, how much it cost, and what the resale value is – is all information gathered on this form.”

Donating stocks can be a powerful tax management tool, but charities and DAFs have historically been nervous about crypto. Things are changing and the door for donating crypto is now open.

Be Aware of Appraisal Rules

Donating crypto is not as straightforward as donating publicly traded stocks. The world of crypto has not been transparent and the rules around donations reflect that.

“Now let’s say someone has decided to donate their crypto or other non-publicly traded securities. Could they artificially inflate the value of their donated property to get a higher deduction and pay less in taxes? As usual, the IRS is one step ahead of them,” says Wilson.

That’s why it is important to be aware of another set of rules surrounding Form 8283. Unlike publicly traded securities, a donation of cyrpto currency that exceeds $5,000 will require a qualified appraisal.   Wait, aren’t crypto currencies actively traded, with the ups and downs of their prices making headlines? The answer is that neither the IRS nor the SEC has taken any official position to treat cryptocurrencies as securities. In fact, the IRS has designated cryptocurrency as property and not currency.

A qualified appraisal must meet IRS requirements, including the need to use a qualified appraiser who has met education and experience requirements. Qualified appraisers are usually licensed or certified in the state in which the property is located.

Further, the appraisal must be done no more than 60 days prior to the donation and no later than the due date of the tax return including extensions. The appraisal is reported on Form 8283 and the appraiser is required to sign the form. No appraiser? No deduction.

It can be challenging to find a crypto appraiser, but as the technique is in greater demand, there are more resources available. Investors who use a donor advised fund like Schwab Charitable or Fidelity Charitable, may also be able to draw on their expertise.

Investors should anticipate that they will spend approximately $500 to $1,000 on appraisal fees, but the tax benefit may be worth it.

Ultimately, crypto investors should seek help from their tax professional to make sure that they take the appropriate steps in donating crypto to a DAF. It could mean the difference between a great tax planning experience and the disappointment of a disallowed deduction.
